Key Takeaways
- The registration request covers up to 5,218,935 shares for Cantor’s resale.
- Potential funding depends on share prices and use of the facility.
- Evernorth agreed to a $521,893.50 nonrefundable upfront commitment fee.
Cantor Deal Could Support More XRP Purchases
Additional funding for XRP purchases could come through a share-sale arrangement that Evernorth Holdings Inc. (Nasdaq: XRPN) established Oct. 23. The XRP treasury company filed with the Securities and Exchange Commission (SEC) to register potential resales by CF Principal Investments LLC, referred to as Cantor, an affiliate of Cantor Fitzgerald & Co.
Its planned share sales to Cantor could generate approximately $80.7 million gross, assuming all 5,218,935 shares sell at the Oct. 22 closing price of $15.46. Evernorth estimated up to $78.3 million net after fees and expenses over approximately 14 months. Actual receipts depend on future sale prices and facility use.
The company stated:
“We intend to purchase additional XRP and increase our overall holdings of XRP in the future.”
Management retains discretion over allocating proceeds among acquisitions, XRP ecosystem activities, and working capital, or funds for day-to-day operations.
Financing Terms Set Costs and Purchase Limits
Once registration becomes effective and other conditions are satisfied, Evernorth can direct Cantor to buy newly issued shares. Cantor generally pays 97% of the volume-weighted average price, which weights trades by size. Evernorth receives proceeds from those sales; money from subsequent resales goes to Cantor.
Under the agreement, the $521,893.50 upfront commitment fee is nonrefundable even if Cantor makes no purchases. Recalculation can increase total commitment fees to $1 million. Purchases are generally limited to 20% of trading volume during the applicable period and cannot push Cantor’s beneficial ownership above 4.99%.
A separate mechanism involves public warrants exercisable for Evernorth stock, which give holders the right, but not the obligation, to buy shares at $11.50 each. As of Oct. 22, up to 9,283,847 shares were issuable through Evernorth’s outstanding warrants, so full cash exercise could provide approximately $106.8 million to the company. That funding depends on holders exercising their rights.
Treasury Plans Link XRP Purchases With Deployment
Following its Nasdaq debut with approximately 473 million XRP on Oct. 12, Evernorth aims to increase XRP per share. Issuance through either financing mechanism would dilute existing investors’ ownership percentages unless they acquire more stock. Progress toward the treasury objective depends on token holdings growing relative to outstanding shares.
Stockholders own an interest in the business, whose assets include XRP held as part of its corporate treasury. Direct cryptocurrency ownership instead gives the holder exposure to the digital asset itself.
An Oct. 14 announcement named Ripple, Kraken, Coinbase, and Bitgo as institutional execution partners for strategies scheduled to begin in the fourth quarter. Partnership agreements remain subject to customary closing conditions and required regulatory and corporate approvals. Initial activities would use established institutional counterparties.
Later phases of its planned XRP treasury deployment would involve native lending and credit markets, allowing borrowing and lending through features built into the XRP Ledger. Evernorth intends to participate as validators activate those capabilities and they demonstrate reliability in production.
